Sze-Mei represents clients in the areas of technology and intellectual property and corporate-commercial law, with a focus on licensing agreements, software development and distribution agreements, franchising and acquisitions.
She has also worked for a large technology company as in-house counsel, and was involved with acquisitional and licensing agreements in Canada, the US and the United Kingdom.

Technology and Intellectual Property
- Represents universities, research and clinical institutions with respect to license agreements, including the spin-off of companies licensing biotechnology, intellectual property ownership and patent management issues
- Advises hospitals, universities and institutions regarding clinical trials agreements with respect to issues that include respective liabilities of hospitals, universities, investigators and sponsors, indemnification, publication and insurance
- Deals with software licensing and e-commerce issues including software development agreements, consulting agreements, website development agreements, application service provider agreements, software hosting agreements, source code escrow, OEM and value-added reseller agreements, domain name transfer agreements, support and maintenance agreements, website terms of use, terms of sale and privacy policies
- Preparation of patent, trademark and copyright license agreements and dealing with trademark and copyright infringement issues including cease and desist letters
- Acted for a major health authority with respect to a shared services pilot project agreement with a publicly funded federal corporation, involving a joint collaboration to implement a centralized shared-services picture archiving communications system, including the development of electronic health information systems
Franchising
- Acts for regional and national franchisors with respect to preparation and review of franchise and related agreements, advising with respect to distribution arrangements with major suppliers, termination of existing franchisees and exercising rights of first refusal under franchise arrangements
- Represents franchisees with the establishment and implementation of new franchises and the purchase and sale of existing franchises
Corporate-Commercial
- Share and asset acquisitions, including pre-sale reorganizations, non-competition and non-solicitation agreements, post-sale continuation into other jurisdictions and amalgamations
- Negotiates and prepares shareholder agreements, joint venture agreements, manufacturing and distribution agreements

Background
Prior to Vancouver, Sze-Mei lived in Singapore, Ottawa and Hong Kong. She lives with her husband and two daughters on the North Shore and enjoys active family weekends in the community.
